2. Client Requirements

1. Provide a clear and detailed project brief outlining the objectives, scope, and specifications of the project. Furnish all relevant information, data, documents, and assets necessary for the successful completion of the project. This may include existing designs, branding guidelines, technical specifications, and any specific requirements unique to the project. 2. Collaborate actively throughout the project duration by providing timely feedback, clarifications, and approvals as requested. Allocate a designated point of contact which will be available for effective communication and decision-making throughout the project. 3. Ensure the provision of necessary licenses, permissions, or legal rights for the use of any third-party materials, trademarks, or copyrighted content required for the project. 4. Make timely payments as per the agreed-upon payment terms and schedule. 5. Adhere to any applicable laws, regulations, or ethical guidelines related to the project, including data privacy, intellectual property, or industry-specific requirements. 6. Notify the company promptly of any changes, updates, or modifications to the project requirements, timelines, or objectives. Provide constructive feedback and engage in a collaborative dialogue to help refine and improve the deliverables. 7. Maintain confidentiality and non-disclosure of any sensitive information or proprietary materials shared during the project.

3. Pricing and Payment

Service Pricing Our pricing structure is specific for each service offered. The initial price indicated is just basic and it is to change as per the project complexity. Payment Schedule Payment should be made by the buyer ones the order has been marked accepted on the buyers’ page. Payment Methods Our current mode of payment is PayPal only. We will update this section to include other modes of payments soon. We have included our payment details which includes account name, number and our email address. Additional Expenses Additional expenses will be communicated to the client by our support team. The expenses might occur due to factors such as third-party software licenses, stock images, printing, shipping, or travel expenses. The expenses will be billed separately from the project cost. The project will be delivered to the client once this payment has been completed. Currency and Taxes Our base operation currency is the Dollar which means all our payment will be in dollars. Taxes incurred will be indicated on the client’s total budget. Pricing Adjustments In the event that the client requests additional objectives to be included in a project, resulting in extra expenses incurred by our team, a price adjustment may be necessary. These adjustments will be promptly communicated to the client, allowing for a constructive dialogue aimed at reaching a mutually agreed-upon solution that benefits both parties. Refunds In the event of project cancellation or the inability to achieve all intended objectives due to circumstances beyond our control, refunds may be issued. If the client chooses to cancel the project prematurely, no refunds will be provided. However, if our team cancels the project, we are obligated to reimburse all funds paid for that specific project. If certain objectives cannot be fully accomplished, we will engage in a discussion with the client regarding appropriate refund arrangements. Payment Disputes If there is a payment dispute, we will engage with our support team to ensure a thorough understanding of the situation. We consistently take our clients' feedback into account. If the issue remains unresolved, we will seek the assistance of an impartial third party or mediator.

5. Revisions and Modifications

Number of Revisions We offer 5 rounds of revisions as part of the project. This includes the opportunity for the client to provide feedback and request changes to the deliverables within the specified revision rounds. Scope of Revisions Revisions are limited to adjustments and modifications based on the original project scope and requirements. Changes that significantly alter the initial concept or scope may be subject to additional charges or may fall outside the scope of the agreed-upon revisions. Feedback and Communication We encourage open and clear communication during the revision process. Clients are expected to provide comprehensive feedback, highlighting the specific changes or improvements desired. Clear and consolidated feedback helps streamline the revision process and ensures accurate implementation. Revision Turnaround Time We aim to address and implement revisions in a timely manner. The turnaround time for revisions will depend on the complexity and extent of the requested changes. We will provide an estimated timeframe for each round of revisions, allowing for client review and feedback. Additional Revisions If additional revisions are requested beyond the included rounds or outside the initial project scope, they may be subject to an additional fee or considered as a separate project extension. We will communicate any additional charges or adjustments required for these requests. Final Approval Once the final round of revisions is completed and the client approves the deliverables, further modifications may require a separate agreement or may be subject to additional charges, depending on the nature and extent of the changes. Version Control It is important to maintain a clear version control system to track the changes made throughout the revision process. We will provide updated versions of the deliverables, clearly indicating the revisions implemented in each iteration.

6. Intellectual Property

Ownership of Deliverables Unless otherwise agreed upon in writing, our company retains ownership of all intellectual property rights associated with the deliverables created during the project. This includes but is not limited to designs, code, documents, graphics, and any other materials developed by our team. License to Client Upon full and timely payment of all fees, our company grants the client a non-exclusive, worldwide, royalty-free license to use the deliverables for the intended purpose outlined in the project. This license is limited to the scope and duration of the project unless otherwise specified in a separate agreement. Client's Intellectual Property The client represents and warrants that any intellectual property, including trademarks, logos, content, or materials provided by them for use in the project, are owned by the client or that the client has obtained the necessary permissions or licenses for their use. The client retains ownership of their pre-existing intellectual property. Third-Party Materials If any third-party materials are incorporated into the deliverables, such as stock images or software components, the client agrees to comply with any applicable terms and licenses associated with those materials. Our company will provide information on the usage rights and any restrictions, if known. Confidentiality of Intellectual Property: Both parties agree to treat all confidential information and intellectual property shared during the project as strictly confidential. This includes any trade secrets, proprietary information, or unpublished materials disclosed by either party. Confidential information shall not be disclosed to any third party without prior written consent. Attribution and Portfolio Usage Our company reserves the right to showcase the deliverables created during the project in our portfolio or promotional materials, including on our website or in marketing materials, unless otherwise agreed upon in writing. Any sensitive or confidential information will be excluded from such displays. Indemnification The client agrees to indemnify and hold our company harmless against any claims, damages, or expenses arising from the client's unauthorized use or infringement of intellectual property rights, including claims related to the use of third-party materials provided by the client. Transfer of Rights Upon full and timely payment of all fees, and upon a separate written agreement, our company may transfer ownership of intellectual property rights associated with the deliverables to the client. Such transfer shall be subject to the terms and conditions specified in the agreement. 7. Termination Clause

Termination by Either Party Either party may terminate the agreement by providing written notice to the other party. The notice period for termination shall be 2 days unless otherwise specified in a separate agreement. Termination for Cause Either party may terminate the agreement immediately in the event of a material breach of the terms outlined in this agreement by the other party. Material breaches may include but are not limited to non-payment, failure to deliver services as agreed, or a violation of applicable laws or ethical guidelines. Termination for Convenience The client may terminate the agreement at any time for any reason by providing written notice to our company. In such cases, the client shall be responsible for payment for any services rendered up to the termination date. Termination Fees or Refunds In the event of termination, whether initiated by the client or our company, any fees paid by the client prior to termination shall not be refunded unless otherwise agreed upon in writing. Additionally, termination fees may apply, especially if the termination causes financial loss or impacts ongoing commitments or expenses incurred by our company. Return of Materials Upon termination, both parties shall promptly return any materials, documents, or confidential information belonging to the other party. This includes any work in progress, project files, or intellectual property shared during the course of the project. Survival of Provisions Termination of the agreement shall not affect the rights and obligations of either party that, by their nature, are intended to survive termination. This includes but is not limited to confidentiality obligations, intellectual property rights, and dispute resolution mechanisms. Dispute Resolution In the event of a dispute arising from the termination, both parties shall make good faith efforts to resolve the matter amicably through negotiation or mediation. If resolution cannot be reached, either party may seek appropriate legal remedies as outlined in the governing law.

8. Modifications to the Terms

Right to Modify Our company reserves the right to modify or update the terms of service outlined in this agreement. Any modifications will be communicated to the client via written notice, email, or through an updated version of the terms on our company's website. It is the client's responsibility to review and familiarize themselves with the updated terms. Client Acknowledgment By continuing to use our services after the modifications to the terms have been made, the client acknowledges and agrees to be bound by the updated terms. If the client does not agree with the modifications, they have the right to terminate the agreement as outlined in the Termination Clause. Notice of Modifications Our company will provide reasonable notice of any modifications to the terms. The notice period may vary depending on the nature and significance of the changes. We will make reasonable efforts to ensure that the client is informed in a timely manner. Client Consent In some cases, substantial modifications to the terms may require explicit client consent. This consent may be obtained through a separate agreement or an acknowledgment form, as mutually agreed upon by both parties. Retroactive Effect Unless otherwise specified, modifications to the terms will have a prospective effect, meaning they will apply to new projects or services initiated after the effective date of the modified terms. Previous projects or services will continue to be governed by the terms in effect at the time of their initiation. Documentation of Modifications Our company will maintain records of the modifications made to the terms of service, including the effective date and a brief summary of the changes. These records will be made available to the client upon request.
